Licensing and permits

Liquor license transfers are municipal, not automatic. Timing the application alongside the closing schedule prevents a buyer from taking over a bar that cannot legally serve.

Lease assignment

Most food service value sits in the location. Landlord consent, remaining term, and personal guarantee release get negotiated in parallel with the purchase agreement.

Inventory and equipment

Food and beverage inventory is usually counted and settled at closing, separate from the purchase price. Equipment lists should note what is leased or financed.

Staff transition

Key kitchen and front-of-house staff are told at the right moment, in a planned way, so a change of ownership does not become a walkout.
